Vendor Terms Of Service

This Terms of Service ("Agreement") is entered into by and between you, the Vendor ("you" or "Vendor"), and Rent My Bike Australia, a brand of Birdrok Labs Pty Ltd ("Rent My Bike Australia," "we," "us," or "our"). By using our services, platform, website, or any associated tools or systems, you agree to be bound by the following terms and conditions.

1. DEFINITIONS

Vendor: A business, sole trader, or organisation authorised to rent out bicycles or related equipment through the Rent My Bike Australia platform.

Platform: The digital systems provided by Rent My Bike Australia, including the website, booking portal, vendor dashboard, marketing tools, and any other related technology or services.

Customer: Any individual or entity who hires or books bicycles or related services through the Platform.

Services: The technology, administrative, marketing, invoicing, and support services provided by Rent My Bike Australia to Vendors, including but not limited to listing management, booking facilitation, and customer communication tools.

2. ELIGIBILITY

To become a Vendor on Rent My Bike Australia, you must:

  • Be a registered business or sole trader with the legal authority to rent equipment.
  • Provide accurate, current, and complete information.
  • Agree to these Terms of Service and all relevant laws and regulations.

3. OUR ROLE

Rent My Bike Australia acts as a booking agent for Vendors. We:

  • List your services on our platform;
  • Facilitate online bookings and payments on your behalf;
  • Transfer booking payments (minus our commissions) to you on a scheduled basis;
  • Provide you with monthly Recipient Created Tax Invoices (RCTIs) for accounting purposes.

We do not take ownership of your services or equipment and are not liable for the delivery, quality, or safety of your rentals.

4. YOUR RESPONSIBILITIES AS A VENDOR

As a Vendor, you agree to:

  • Fulfill all customer bookings accurately and professionally;
  • Ensure your bikes and equipment are clean, safe, well-maintained, and legally compliant;
  • Maintain appropriate insurance coverage for public liability and damage/loss;
  • Keep us informed of product availability, pricing changes are up to date;
  • Notify us of any cancellations, issues, or disputes within 24 hours.

5. RENTAL BOOKINGS AND PROMOTIONS

All rental bookings should be made through the Rent My Bike Australia website at www.rentmybikeaustralia.com.au or any other Rent My Bike Australia internet page as advised;

Rent My Bike Australia may conduct promotions from time to time at its sole discretion to which all prospects, including those introduced by the Vendor and Rent My Bike Australia will be eligible.  For details regarding rental bookings and available promotions refer to www.rentmybikeaustralia.com.au or any other Rent My Bike Australia internet page as advised from time to time.

6. FEES & PAYMENTS

  • You will receive rental income minus our 25% platform commission and service fees.
  • Payments to the vendor will be made monthly by the 15th of the following month.
  • You will receive a Recipient Created Tax Invoice (RCTI) with a breakdown of bookings and fees.

7. CANCELLATIONS & REFUNDS

You must honor the cancellation and refund policies listed on your Vendor profile. Rent My Bike Australia reserves the right to override a refund policy in cases of:

  • Customer safety concerns;
  • Legal or regulatory compliance;
  • Fraud, abuse, or system error.

8. INTELLECTUAL PROPERTY

You retain ownership of your content, including photos, descriptions, and branding. However, by listing with us, you grant us a non-exclusive, royalty-free license to use your content for marketing and booking purposes.

9. TERMINATION

Either party may terminate this Agreement with 14 days’ written notice. We may suspend or remove your listing immediately for:

  • Breach of this Agreement;
  • Unsafe equipment or practices;
  • Repeated customer complaints or no-shows.

10. LIABILITY & INDEMNITY

You agree to indemnify and hold Rent My Bike Australia harmless from any claims, damages, losses, or liabilities arising out of:

  • Your services or equipment;
  • Injury, damage, or disputes involving customers;
  • Your breach of this Agreement or any applicable laws.

11. CONFIDENTIALITY

All platform features, pricing structures, and customer data are confidential and must not be shared without our written consent.

12. MODIFICATIONS

We may update these terms from time to time. Continued use of the platform after any changes constitutes your acceptance of the revised terms.

13. EXCLUSIVITY

The Vendor agrees to give Rent My Bike Australia exclusivity in the bike rental category at the Vendor’s business (defined as not promoting bikes for rent with any other company or directly for as long as the agreement is in place.

Rent My Bike Australia is entitled to promote the rental program itself or through another Vendor(s) with the same Territory.

14. GOVERNING LAW

This Agreement shall be governed by the laws of the State of Victoria, Australia.

15. DISPUTE RESOLUTION

If a dispute arises in relation to this Agreement then the Vendor and Rent My Bike Australia agree in good faith to make all reasonable endeavours to settle the dispute by negotiation.

If the dispute fails to be resolved, then either the Vendor or Rent My Bike Australia may provide a written notice to the other to appoint a mediator within 7 days.  If a mediator is not agreed in 7 days of providing the notice, a mediator will be appointed by The Institute of Arbitration & Mediators Australia and conducted according to the Institution’s rules.  Each of the parties must cooperate fully with the mediator and pay an equal share of  the mediator’s fees and expenses.

16. PRIVACY AND COMPLIANCE

Both parties must comply with their respective obligations under the Privacy Act 1998 (Cth) and Prudential Standard CPS234 Information Security (as amended from time to time).

17. MODERN SLAVERY

The Vendor agrees to comply with all applicable laws relating to modern slavery, including but not limited to the Modern Slavery Act 2018 (Cth).

The Vendor represents and warrants that:

  • It does not engage in any form of modern slavery, including forced labour, human trafficking, debt bondage, child labour, or deceptive recruitment practices;
  • Its operations and supply chains are free from modern slavery practices to the best of its knowledge;
  • It will take reasonable steps to ensure that its suppliers and contractors also comply with these obligations.

Rent My Bike Australia reserves the right to immediately suspend or terminate this Agreement if there is a reasonable belief that the Vendor is involved in modern slavery practices or has failed to take appropriate corrective action after notification.

The Vendor agrees to promptly provide any information reasonably requested by Rent My Bike Australia to confirm compliance with this clause.

18. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between you and Rent My Bike Australia regarding the subject matter herein and supersedes all prior agreements, written or oral.
